TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTEGRITY – RCM OR ANY THIRD PARTIES MENTIONED ON THE SITE BE LIABLE FOR ANY DAMAGES OF ANY KIND OR NATURE WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, LOSSES OR EXPENSES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (I) THE USE OF OR INABILITY TO USE THE SITE, (II) ANY CONTENT, MATERIALS OR FUNCTIONS RELATED THERETO, (III) ANY FAILURE OR DELAY IN THE PERFORMANCE OF THE SITE, OR (IV) OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THESE TERMS OF USE, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT INTEGRITY – RCM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
You hereby agree to defend, indemnify, and hold harmless Integrity – RCM and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, demands, actions, liabilities, costs, and settlements, including without limitation, all reasonable legal fees and accounting expenses, that arise from or are alleged to arise from Your violation or breach of these Terms of Use. This indemnification obligation encompasses any third-party claims resulting from Your use or misuse of the Site, Your violation of any rights of another, or Your failure to comply with applicable laws and regulations.
Survival Provisions: The following sections shall survive any termination or expiration of these Terms of Use: Disclaimers, Exclusions and Limitations, Indemnity, Prohibited Conduct, Proprietary Rights, and all provisions relating to governing law and jurisdiction. Such provisions shall continue in full force and effect notwithstanding the termination of Your use of the Site or these Terms of Use for any reason. Governing Law and Jurisdiction: These Terms of Use shall be governed by, interpreted, and enforced by the laws of the States of Texas and California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or relating to these Terms of Use shall be brought exclusively in the federal or state courts located in Texas and California, and You hereby consent to and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.
Severability: In the event that any provision of these Terms of Use is determined to be unlawful, void, or unenforceable by a court or other tribunal of competent jurisdiction, such provision shall be limited or eliminated from these Terms of Use to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, while all remaining provisions shall continue in full force and effect.
Entire Agreement: These Terms of Use, together with the Privacy Policy, constitute the complete and exclusive agreement between You and Integrity – RCM concerning Your use of the Site, superseding all prior or contemporaneous proposals, communications, and understandings, whether electronic, oral, or written. No counter-offers, amendments, or modifications to these Terms of Use shall be accepted by Integrity – RCM unless expressly agreed to in writing by Integrity – RCM.
No Waiver: Any failure or delay by Integrity – RCM to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. No waiver by Integrity – RCM of any provision of these Terms of Use shall be binding except as expressly set forth in writing and signed by its duly authorized representative.
Third-Party Rights: These Terms of Use are not intended to confer, and do not confer, any rights, benefits, or remedies upon any person or entity other than You and Integrity – RCM, and no third party shall have the right to enforce these Terms of Use.
